Q: What is a corporation? I recently heard someone say that a corporation is simply a company that is run like a business but has limited liability. However, I also recently read in an article on the definition of corporations that a corporation is actually a separate legal entity from the individuals who own it. Answer: A corporation is not a separate entity, as what you may have read in an article recently on the Online Assessment website. According to this definition, a corporation is a separate legal entity from its owners. As such, each owner's liability to the company through acts of negligence is limited to the extent of his investment in the company. Buzz Corporation LLC, which is the name of the company whose office was mentioned in the Online Assessment, says so that they do not invest their owners' liability in their own company but rather carry back that liability on their own. So, in saying all of this, what is a corporation actually? According to Webster's Third New Collegiate Dictionary (1947), a corporation is "a small business organization that owns and operates a definite number of shares or other assets owned and controlled by the owners." The Online Assessment website also says that a corporation is a "group of people or individuals managing and running a business." If one is to follow the line of thought put forth in the Online Assessment, a corporation is another form of a sole proprietorship. To be succinct, a sole proprietorship is when one person owns and controls a company or partnership and there are no others. Sole proprietorships can be found everywhere in society from CEO to just about anything else that someone might own. For example, if you owned a company that manufactures and sells paper towels, you could be called a sole proprietor. If you own a business where you perform renovations and remodeling work, you would be considered a sole proprietor and if you run an online Assessment software company, which is one of the online businesses to consider, you would be considered a corporation. When you begin to think about it, a corporation could very well be any one person. It all comes down to whether or not the government allows corporations to exist. Interestingly, the United States government does allow corporations. Now, one could say that if you own property, you are a corporation, but if you do not have a property, you are not. Of course, property can be destroyed or be held by someone and be considered a corporation. Because of the nature of corporation formation in the United States, there is a need to look at what the laws of different states are regarding it. One could begin with the state capital. Each state has its own laws regarding corporation formation. For example, in Massachusetts, corporations are required to file a special form with the Secretary of State after becoming members. Each state will have different rules, so if you are interested in forming a corporation in Massachusetts, you would want to check out the laws for that specific state first. The next step would be to begin the process of filing articles of organization. After you complete this step, you will go through the official paperwork that goes along with forming a corporation. In most cases, these papers include incorporating a corporation and naming it. Then, you will present your Articles of Organization to the secretary of state. You will also submit a list of officers that will be either the president or the secretary. This also gives the state the power of accepting or rejecting your Articles of Organization. After all of the paperwork has been completed, you will be asked to pay a fee to register the corporation. Now, the question is, will your new corporation be exempt from paying income taxes? The simple answer is no. But if you are going to incorporate a corporation, you should always look into the possibility of obtaining a certificate of exemption. Once your corporation is exempted, you will not have to pay any tax at all. |
